01Purpose

These terms govern temporary access to the closed pilot of IRIS, a recruitment decision-support intelligence solution published by Kamel IRZOUNI, the individual behind the INOVAITE entrepreneurial project currently being established, residing in Perpignan (66000), France, acting as founder and project leader, hereinafter referred to as "INOVAITE". The publisher's full postal address appears in the non-disclosure agreement (NDA) and the data processing agreement (DPA) sent with the pilot invitation.

The pilot is intended to assess real-world usage, collect product feedback, and improve IRIS between testing waves. It is not a general commercial offering.

These terms form a whole with the confidentiality agreement (NDA) and the data processing agreement (DPA), accepted when the account is activated, and with the privacy policy. The “participant” means the company or organisation identified in the pilot invitation message. An “authorised user” is any person holding a named account created by INOVAITE to act on behalf of the participant; the participant ensures that its authorised users comply with these terms.

These terms are accepted in the application by the authorised user, who ticks the box provided and confirms their name; they declare that they are authorised to bind the participant or act with its authorisation. Acceptance is recorded with its date and time and with the version and digital fingerprint (SHA-256) of the accepted text; in accordance with Articles 1356 and 1366 of the French Civil Code, these records constitute evidence of the acceptance and of its content, unless proven otherwise.

02Duration and access

  • Pilot wave duration: 15 days by default, unless otherwise agreed in writing with the participant.
  • Residual access after wave end: maximum 15 days.
  • Maximum number of participants per wave: 5.
  • Accounts are created manually. Public self-signup is not used during the pilot.
INOVAITE may suspend or withdraw access in case of security risk, abusive use, breach of these terms, or end of the pilot period.

03Quotas

Each participant receives the following quotas unless otherwise agreed in writing:

  • Job Postings: 15.
  • Job Matching / Screening: 5, up to 50 applications per campaign.
  • Reports: 10.

These quotas control cost, support load, and observation quality.

04Authorized use

The pilot is limited to professional evaluation of IRIS in a recruitment context. The participant agrees to:

  • use a named individual account;
  • not share credentials;
  • not bypass quotas;
  • not run attacks, automated scans, or load tests without written approval;
  • import real applications only after informing candidates that IRIS is used before the analysis, carrying out a data protection impact assessment (DPIA) where required and, in companies with at least fifty employees, informing the social and economic committee; otherwise, use fictitious files only;
  • not import special categories of data, personal data relating to criminal convictions and offences, or data without a direct link to the position;
  • human-review every output produced by IRIS.

05Nature of outputs

IRIS is a decision-support tool. It does not make recruitment decisions, does not replace human judgment, and must not be used as the sole basis for a decision concerning a candidate.

Sections 1 to 3 of Chapter III of Regulation (EU) 2024/1689, where they concern systems classified as high-risk under its Article 6(2) and Annex III, apply from 2 December 2027, in accordance with the timetable as amended by Regulation (EU) 2026/1744 (OJ L, 2026/1744, 24.7.2026).

06Data and deletion

Retention periods and deletion arrangements are set by Annex 1 of the data processing agreement (DPA) and restated in the privacy policy. "End of access" means the date on which the account no longer gives access to the features of the Service, including after any residual access period; all return and deletion periods run from that date. Unless otherwise agreed in writing, CVs and candidate documents, reports and analyses, and campaigns are deleted at the latest thirty days after the end of access. The participant may request an export of their data during the pilot and until that thirty-day period expires; where the request is received within that period, the data needed to fulfil it is retained for as long as strictly necessary to provide the export. Evidence of acceptance of the pilot documents is retained under the conditions set out in the privacy policy.

07Feedback

The participant’s functional feedback may be used to improve IRIS. In identifiable form, it is kept for six months at most, then deleted or irreversibly anonymised; only anonymised feedback and aggregated statistics are kept beyond that and may guide the product roadmap and INOVAITE’s strategic positioning.

CVs, reports, and identifiable campaigns are not retained for product strategy purposes.

09No commercial warranty

The pilot is provided on an experimental basis, with no permanent availability commitment, no warranty of error-free operation, and no commitment to maintain features beyond the pilot period.

10Liability

As the pilot is free of charge and experimental, INOVAITE's liability is limited to proven direct damages caused by a fault attributable to it, excluding any indirect damage (loss of data imported in breach of these terms, loss of opportunity, commercial or reputational harm).

The participant remains solely responsible for: the data they import and its lawfulness; informing candidates; any recruitment decision made at the end of their process. Nothing in these terms limits liability that cannot be excluded by law, in particular in the event of gross negligence or wilful misconduct.

11Confidentiality and intellectual property

In the event of a conflict between the pilot documents, the order of precedence is as follows: the data processing agreement (DPA) prevails for any matter relating to personal data; the non-disclosure agreement (NDA) prevails for confidentiality obligations; these terms apply to everything else.

IRIS — its software, code, interfaces, analysis methods, the structure and templates of its outputs, and its distinctive signs — remains the exclusive property of INOVAITE. No right is assigned to the participant beyond the authorised evaluation use.

This clause covers only what is specific to IRIS. It confers no ownership over the data imported by the participant, over their candidates’ documents, or over the content of the job descriptions and postings they provide: those remain theirs. Reports produced for the participant are intended for them; only the structure, the method and the analysis wording specific to IRIS fall under this clause. The participant may freely use the reports produced for it for its internal purposes, including after the end of the pilot.

12Termination and assignment

Either party may end pilot participation at any time by simple written notice. The end of participation triggers closure of access and application of the retention and deletion policy. Provisions relating to confidentiality, intellectual property and liability survive.

The participant consents in advance, in accordance with Article 1216 of the French Civil Code, to the assignment of these terms, of the confidentiality agreement and of the data processing agreement to the company to be incorporated to operate IRIS. The assignment becomes enforceable against it upon notification; the participant may then end its participation under this article.

13Governing law

These terms are governed by French law. Failing amicable resolution within 30 days, except in case of urgency, the dispute falls under the jurisdiction of the courts having subject-matter and territorial jurisdiction under the ordinary rules of law.
